Corporate boards may be made up of inside directors who are either shareholders or top-level managers from the company. There is a management board overseeing the day-to-day activities, and a supervisory board which is responsible for approving budgets as well as monitoring core corporate initiatives and projects. The two tiers can allow for the separation of executive and managerial duties. It can also lower the risk of conflicts of interest by limiting the number of board members that are directly accountable to management of the company.
